Job Summary: The position performs a variety of activities (not requiring a law degree) related to corporate governance, including legal or factual research, document preparation and analysis, subsidiary maintenance, and public filings and disclosures. The position also performs a variety of program management activities related to enterprise risk management and resiliency programs, including developing and making recommendations to senior leaders regarding tools, trainings, and process and policy improvements; gathering, organizing, and analyzing data related to corporate governance, environmental, and labor disclosures; and drafting disclosures to comply with legal requirements. Principal Responsibilities: Plans, leads, monitors and coordinates activities related to technology and business projects and programs. Manages projects or assigned projects subcomponents to ensure cost, schedule, scope and deliverable requirements are met. Interfaces and communicates progress of projects. Assists with the administration of the corporate governance function including supporting board of directors meetings and annual shareholder meetings. Performs subsidiary management, including preparation and filing of corporate formations and dissolutions, annual reports, appointments, powers of attorney. Assists with preparation and filing of annual proxy statement. Assists with gathering and organizing data required for environmental and labor disclosures globally. Evaluates external tools and develops internal tools to increase efficiency and accuracy related to both corporate governance and the enterprise risk management and resiliency programs. Assists with project management of environmental and labor disclosures globally. Assists with M&A in the preparation of due diligence and closing materials; prepares corporate files. Populates and maintains subsidiary management database. Provides information to other departments including tax, finance and HR as requested. Other duties as assigned. Work Experience: Typically 5+ years with bachelor's or equivalent. Education and Certification(s): Bachelors degree or equivalent experience from which comparable knowledge and job skills can be obtained.
