Job Description Position Overview   Based in Chicago,   the   Tax Counsel   will   join   our expanding tax planning team and play a key role in achieving Company and investor tax   objectives.   The position offers exposure to a broad range of complex and evolving tax issues at a leading renewable energy developer.     The Tax Counsel will support the delivery of high-value, comprehensive,   accurate, and   timely   tax advice to key stakeholders across multiple business units. Responsibilities will include U.S. federal income tax matters involving renewable energy tax credits, partnerships, project finance, M&A transactions, tax planning, and related business initiatives. This position will report directly to the Director and Tax Counsel.     This is a demanding, execution-oriented role for an attorney who is prepared to take meaningful ownership of complex matters early in their career. The position requires managing multiple concurrent workstreams, responding to changing business priorities, and delivering careful, practical advice under compressed timelines. The successful candidate will be expected to independently advance assigned matters, relieve execution pressure on senior members of the tax team, and escalate issues requiring senior judgment rather than relying on senior team members to manage routine execution.       Responsibilities    Assume primary responsibility for assigned transactions, planning projects, and business initiatives, independently managing day-to-day execution and escalating significant technical, judgment, or business issues as appropriate   Manage multiple concurrent transactions, financings, and tax-planning workstreams with competing and   frequently   changing deadlines   Work closely with cross-functional teams   (especially Finance   &   Capital Markets and Corporate M&A) to   evaluate and analyze tax   consequences   of acquisitions, dispositions, joint ventures, tax equity financing and debt financing of solar, wind, transmission, energy storage, geothermal, and manufacturing   projects in the U.S.   Review and advise on tax assumptions used in project, financing, and investment models supporting some of the largest energy and infrastructure developments in the United States   Proactively r eview business transactions to   identify   tax implications and provide well-thought-out recommendations     Analyze and provide   recommendations   regarding   tax provisions   in   transaction documents   I nteract with senior leaders across Capital Markets, Treasury, Corporate Development, Development, Accounting, and Legal   Respond to time-sensitive requests from senior leaders and business teams while continuing to advance other assigned matters   Prepare and present recommendations   regarding   significant tax issues to senior tax leadership   Evaluate uncertain tax positions and the need for tax reserves under ASC 740   Provide   technical tax advice to the tax compliance team regarding the treatment of complex transactions, restructurings, financings, and other non-routine matters   Stay current on changes in tax law, advise internal stakeholders   regarding   potential business impacts, and develop internal guidance, memoranda, templates, processes, and playbooks to support a scalable and efficient tax function   Support   the   tax controversy   and examination team   as needed     Minimum Qualifications   Juris Doctor   Admission to practice law   and in good standing   in at least one U.S. state   1 – 4 years of experience as a tax attorney at a leading law firm or international accounting firm   ( e.g., a   Big Four firm ); relevant in-house tax-law experience at a Fortune 500 or comparably complex company or major private equity sponsor may be considered as part of the required experience   Excellent oral and written communication skills   Demonstrated ability to produce careful,   accurate   work while managing significant pressure, compressed timelines, competing demands, and   frequently   changing priorities   Self-starter with the initiative, judgment,   curiosity,   and desire to take ownership of unfamiliar matters and quickly develop   expertise   in new areas of tax as the business evolves   Detail-oriented, adaptable, and capable of   maintaining   responsiveness and sound judgment across multiple active matters   Willingness and ability to work extended hours, including some evenings and weekends, during periods of elevated transaction activity, legislative or regulatory developments, and other time-sensitive events Eligible to work in the United States without the need for employer visa sponsorship now or in the future   Preferred   Qualifications   LL.M. in Taxation   (highly preferred)   Experience with the energy, power, or infrastructure industries    Experience with project finance transactions   Transactional tax and tax planning experience, including knowledge of partnership rules and experience documenting and negotiating tax provisions of transaction documents   Comfortable working with new rules and ambiguity to develop thoughtful analysis and guidance   Base Pay $140,000.00 - $190,000.00 USD Annual Bonus: 25% - 40% The base pay range reflects the minimum and maximum target salary for the position. Invenergy considers a number of factors when determining base pay offers such as the scope and responsibilities of the position and the candidate's experience, education and skills.   In addition to base pay, the total annual compensation package may also include eligibility to participate in our bonus program(s) which are designed to reward individual and company performance.
